On behalf of the Heart Kids NZ Board, I want to thank all members who took the time to attend and participate in our Special General Meeting on Saturday 31 May.

We are pleased to share that the outcome of the meeting was a majority vote in favour of the following resolution:

Resolution 1:
The Members of Heart Kids New Zealand Incorporated (the Society) resolve that, upon establishment of a new charitable trust with purposes substantially similar to those described in clause 3 of the constitution of the Society and named Heart Kids New Zealand Charitable Trust (or similar):

a. The excess assets and funds of the Society shall be distributed to the Trust in accordance with clause 16.3 of the Constitution; and
b. The Society shall be dissolved in accordance with clause 16 of the Constitution.

The effective date for this change will be 1 April 2026.

This decision represents an important step in strengthening the future of Heart Kids NZ. Moving to a charitable trust structure will ensure we are better equipped to continue delivering high-quality support to heart children, teens, adults, and their families across Aotearoa.

Over the coming months, we will begin the process of setting up the new trust and working through the necessary steps to ensure a smooth transition. Throughout this process, our focus remains firmly on the people we support – and ensuring that services continue uninterrupted.
